Setting up a Virtual Room

and printing but log who saw what when and where.
Information cannot be downloaded and taken away in a true Virtual Data
Room - only viewed by a user with the correct permissions.
It should not only stop printing, and cutting & pasting but should stop
screen capture software such as Paintshop and Snaggit which converts
images on your screen in most systems into printable documents. It can't
stop copying down with a pencil or photographing the screen - but at
that level a physical data room can be compromised by hidden cameras etc
so the virtual and physical can be considered equivalent in that sense.
This combination of mandatory requirements can only be implement using
advanced digital rights management and content protection technologies.
As an essential part of the Mergers & Acquisitions process the data
room (dealroom or dataroom) is set up as part of the as a central
repository of data relating to companies or divisions being acquired or
sold. The data room enables interested parties to view material relating
to the business in a controlled environment. Confidentiality is
paramount and strict controls for viewing, copying and printing must be
imposed. Conventionally this is achieved by establishing a supervised,
physical data room in secure premises with controlled access.
